Enterprise Terms & Privacy Addendum

Applies to: kanbaroo.co.uk and kanbaroo.app

This document outlines the specific Terms and Privacy differences that apply to clients who have purchased or licensed the Kanbaroo Enterprise Edition — a self-hosted, white-label version of Kanbaroo provided by Backtwofront Technologies Ltd. These terms are in addition to, and where relevant supersede, the general Terms of Use and Privacy Policy that apply to kanbaroo.co.uk and kanbaroo.app.

1. Overview

The Kanbaroo Enterprise Edition is designed for organisations that wish to host and manage their own instance of the Kanbaroo system. Enterprise clients retain full control over deployment, configuration, branding, and data storage. Backtwofront Technologies Ltd does not access, monitor, or collect any user data from Enterprise installations.

2. Data Privacy and Control

Unlike the hosted Kanbaroo App, Enterprise Editions are entirely self-contained. All user data, boards, and related information remain within the client’s own infrastructure or chosen hosting environment. No data is transmitted to Backtwofront Technologies Ltd or its servers at any stage.

The client organisation acts as the sole data controller for all user and operational data generated within their instance. Backtwofront Technologies Ltd acts only as the software licensor and has no data processing role.

3. Support and Maintenance

Enterprise clients may optionally engage Backtwofront Technologies Ltd for support, updates, or integration assistance under a separate Support Agreement. Where support access is granted, only metadata or technical configuration details required to resolve issues will be shared — and only with the explicit consent of the client.

4. Licensing and Ownership

The Kanbaroo Enterprise Edition is licensed, not sold. Clients receive a perpetual or time-limited licence (depending on agreement terms) to host, modify, and rebrand the software for internal use. Redistribution or resale of the product is not permitted without written consent from Backtwofront Technologies Ltd.

5. White-Labelling and Branding

Enterprise clients may replace the Kanbaroo name, logo, and colour scheme with their own branding in accordance with the white-labelling guidelines provided in the Enterprise documentation. Such modifications do not transfer ownership of the Kanbaroo intellectual property, and all copyright remains with Backtwofront Technologies Ltd.

6. Security Responsibilities

As the hosting entity, the client organisation is solely responsible for the security, configuration, and access controls of their installation. Backtwofront Technologies Ltd cannot be held liable for breaches, data loss, or unauthorised access occurring within self-hosted environments.

7. Updates and Modifications

Enterprise clients are entitled to updates as defined in their purchase agreement. Updates may include feature enhancements, bug fixes, or security improvements. The application of updates is the client’s responsibility, unless otherwise arranged under a managed support plan.

8. Warranty and Liability

The Kanbaroo Enterprise Edition is provided “as-is” without warranty of uninterrupted operation or compatibility with all systems. Backtwofront Technologies Ltd’s liability is limited to the value of the licence fee paid, and we are not liable for indirect, incidental, or consequential damages arising from the use of the software.

9. Data Protection Compliance

As Enterprise clients control all data within their own infrastructure, they are responsible for ensuring compliance with applicable data protection laws such as the UK GDPR or EU GDPR. Backtwofront Technologies Ltd does not act as a processor or sub-processor in this context.

10. Custom Integrations

Where a client integrates Kanbaroo Enterprise Edition with third-party systems (e.g., internal authentication, SSO, or file storage), all resulting data exchange and compliance responsibilities rest solely with the client organisation.

11. Termination of Licence

The Enterprise licence may be terminated if the client breaches the terms of use, redistributes the software without permission, or fails to maintain agreed payment or compliance obligations. Upon termination, all copies of the software must be permanently deleted or deactivated.

12. Governing Law

This Enterprise Addendum and any associated agreements are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
